Terms & Conditions

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Abide & Thrive LLC ("we," "us," "our," or the "Company") governing your access to and use of Abide & Thrive LLC's website at https://abideandthrivellc.com (the "Site"), the wellness coaching programs, meal plans, mobile app content, digital products, and any related services we offer (collectively, the "Services").

By accessing, browsing, purchasing, or otherwise using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Site or Services. These Terms apply to all visitors, clients, and subscribers.

If you are entering into these Terms on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

You must be at least 18 years of age to use the Services or to submit any form, payment, or inquiry through the Site. By using the Services, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into these Terms, and that any information you provide is accurate and complete. If you are the parent or legal guardian of a minor and wish to engage Services on their behalf, you accept full responsibility for that minor's use and agree to be bound by these Terms on their behalf.

Abide & Thrive LLC offers two pillars of Services under the brand Abide & Thrive:

• Abide & Thrive Wellness — personal training, nutrition coaching, corrective exercise, core performance, and tactical conditioning programs delivered through our free mobile app, including the Abide Foundations monthly subscription, 1:1 Personalized Coaching, and the Tactical Strength Program.
• Abide & Thrive Financial — bookkeeping and tax preparation services. Financial Services are performed in association with Goshen Tax & Consulting LLC. Inquiries submitted through the Site are routed to that firm's contact process.

We also offer faith-based digital products and clothing through our Etsy shop. Purchases made on Etsy are governed by Etsy's own terms and policies, which are separate from these Terms.

Specific program details, deliverables, duration, and pricing are described on the relevant program pages and in any agreement or welcome materials provided at enrollment. In the event of any conflict between these Terms and a specific program agreement, the specific program agreement controls with respect to that program.

Certain Services require you to create an account, including access to our mobile training app. When you register, you agree to provide accurate, current, and complete information and to update that information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

The Abide Foundations program is offered as a recurring monthly subscription. 1:1 Personalized Coaching and the Tactical Strength Program are offered as monthly plans with either monthly or weekly check-in options. By enrolling in a recurring plan, you authorize us to charge the applicable fee on a recurring basis until you cancel.

• Billing cycle. Subscription fees are billed in advance on a monthly basis from the date of enrollment. The subscription remains active until canceled in accordance with these Terms.
• Price changes. We may change subscription fees upon reasonable notice. Any price change takes effect at the start of the next billing cycle following notice. Continued use after the effective date constitutes acceptance of the new fee.
• Taxes. You are responsible for any applicable sales, use, or similar taxes not collected by us at the point of sale.
• Payment method. You must maintain a valid payment method on file. If a payment is declined, we may suspend access to the Services until payment is resolved.

Cancellation of recurring subscriptions. You may cancel a recurring subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the then-current billing period. You will retain access until the end of the period you have already paid for. No partial or prorated refunds are provided for the unused portion of a billing period unless required by applicable law.

Coaching programs. 1:1 Personalized Coaching and Tactical Strength are month-to-month commitments. Because these Services involve the creation of customized programming and one-on-one time, fees for any started billing period are non-refundable. You may cancel future billing by providing notice before the start of the next billing cycle.

Digital products. Due to the immediate, downloadable nature of digital products, all sales of digital products are final and non-refundable unless a product is demonstrably defective and we are unable to provide a working replacement.

Statutory rights. Nothing in these Terms limits any statutory consumer rights you may have under applicable federal or state law that cannot be waived by agreement.

As part of the Services, we may send you text messages (SMS/MMS) and other electronic messages for purposes such as account verification, appointment and check-in reminders, program updates, coaching communications, and occasional service-related notifications. Message frequency varies depending on your program and interactions with us.

• Consent. By providing your mobile phone number on any form or in your account, and by checking any consent box or otherwise opting in, you expressly consent to receive recurring automated and non-automated SMS/MMS messages from Abide & Thrive LLC at the number you provided. Consent is not a condition of purchasing any goods or services.
• Opt-out. You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. Upon opting out, we will send a single confirmation message to confirm you have been unsubscribed. You may opt back in at any time by replying START or UNSTOP to a prior message, or by resubmitting your number with consent.
• Help. For support, reply HELP to any message or contact us using the information in the Contact section below.
• Carrier fees. Standard message and data rates from your mobile carrier may apply to messages you receive. You are responsible for such charges.
• Number changes. You are responsible for keeping your mobile number current. If your number changes, you must update it in your account or notify us to avoid messages being sent to the wrong recipient.
• Shared devices. If you share a device or number, you represent that you have the authority of all users of that number to consent to receiving messages on their behalf.

We do not sell or rent your mobile number, and we use messaging solely for the purposes described here and in our Privacy Policy. Our messaging practices comply with the Telephone Consumer Protection Act (TCPA) and applicable carrier guidelines.

Wellness Services. The fitness, nutrition, and coaching Services provided by Abide & Thrive LLC are for educational and informational purposes only. We are personal trainers and nutrition coaches, not licensed physicians, registered dietitians, or medical professionals. Nothing provided through the Services constitutes medical advice, diagnosis, or treatment, and it is not a substitute for professional medical care.

You should consult a qualified healthcare provider before beginning any exercise, nutrition, or wellness program — especially if you are pregnant, postpartum, recovering from injury, managing a health condition, or taking medication. Stop exercising immediately and seek medical attention if you experience pain, dizziness, or discomfort.

Financial Services. Bookkeeping and tax preparation assistance is provided for general informational and organizational purposes. It does not constitute legal, investment, or financial planning advice. Tax preparation Services are performed in association with Goshen Tax & Consulting LLC, and you should consult that firm or a qualified professional regarding your specific tax situation.

You agree not to:

• Use the Site or Services for any unlawful, harmful, fraudulent, or abusive purpose;
• Attempt to gain unauthorized access to any part of the Site, our systems, or another user's account or data;
• Interfere with or disrupt the Site, servers, or networks, including by introducing viruses, scraping content, or using automated tools to collect data;
• Reproduce, resell, redistribute, or commercially exploit any program materials, meal plans, workout programming, or digital products except as expressly permitted;
• Impersonate another person or misrepresent your affiliation with a person or entity.

All content on the Site and provided through the Services — including text, graphics, logos, program materials, meal plans, workout programming, videos, and digital products — is owned by or licensed to Abide & Thrive LLC and is protected by United States and international intellectual property laws. Program materials and digital products are licensed to you for your personal, non-commercial use only. You may not copy, reproduce, modify, distribute, or create derivative works from any content without our prior written consent.

The Site may link to or integrate with third-party services, including our Etsy shop, our mobile training app, and the contact process of Goshen Tax & Consulting LLC. We do not control and are not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is governed by their own terms and privacy policies, and you assume all risk associated with such use.

The Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Abide & Thrive LLCdisclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any fitness or nutrition program will produce a specific result. Results vary based on individual effort, consistency, health, and other factors we do not control.

To the fullest extent permitted by applicable law, in no event will Abide & Thrive LLC, its owners, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Site or Services — whether based on warranty, contract, tort (including negligence), or any other legal theory — even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to the Site or Services shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater. Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify and hold harmless Abide & Thrive LLC and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services, your violation of these Terms, or your infringement of any third-party rights.

These Terms are governed by the laws of the United States and the state in which Abide & Thrive LLC operates, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be resolved by binding arbitration administered in the United States, and judgment on the award may be entered in any court of competent jurisdiction. You and the Company each waive any right to a jury trial and to participate in a class action or class-wide arbitration.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through the Site or by other reasonable means. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Services and cancel any recurring subscription.
